YenYa Coffee is operated by YenYa, Inc., a Delaware corporation. The terms "we," "us," and "our" refer to YenYa, Inc., doing business as YenYa Coffee.

YenYa Coffee operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the "Services"). YenYa Coffee is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Coffee is an agricultural product, and natural variations may occur between harvests, lots, roasts, and batches. Flavor and sensory characteristics may also vary based on brewing method, water, equipment, storage, and other factors.

All descriptions of products are subject to change at any time without notice at our discretion. We reserve the right to discontinue any product at any time and may limit the quantities of products that we offer to any person, geographic region, or jurisdiction on a case-by-case basis.

Nothing in this section limits any rights you may have under applicable consumer protection law.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase.

YenYa Coffee reserves the right to accept or decline your order for any lawful reason at its discretion. Your order is not accepted until YenYa Coffee confirms acceptance. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting it, as YenYa Coffee may be unable to accommodate cancellation requests after an order has been accepted or processed for shipment.

If we do not accept, make a material change to, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, and/or phone number provided at the time the order was placed.

Your purchases are subject to our Return & Refund Policy, available through the Return & Refund Policy link on our website and at checkout.

Unless otherwise expressly authorized by YenYa Coffee, including through an approved wholesale or business relationship, purchases made through our consumer online store are intended for personal or household use and not for unauthorized commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice.

The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation or checkout documentation.

Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs duties, import charges, or similar amounts that may apply to your order.

Prices posted in our online store may differ from prices offered through physical locations, wholesale arrangements, events, marketplaces, retailers, distributors, or other third-party channels.

We may offer promotions from time to time that are governed by terms and conditions separate from these Terms. If there is a conflict between the specific terms of a promotion and these Terms, the promotion terms will govern with respect to that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made through our store. You represent and warrant that:

(iv) you will pay all amounts properly charged in connection with your purchase, including applicable shipping, handling, taxes, duties, and other charges.

For certain eligible international orders, a third-party merchant of record, including Global-e through Shopify Managed Markets, may facilitate or legally process the transaction as disclosed during checkout. Such orders may be subject to additional payment, tax, duty, customs, import, shipping, and transaction requirements applicable to the destination country or region.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery are subject to our Shipping Policy, which is available through the Shipping Policy link on our website and at checkout.

Delivery dates, transit times, and arrival estimates displayed on our website or at checkout are estimates only and are not guaranteed unless expressly stated otherwise.

We are not responsible for delays caused by shipping carriers, customs processing, weather conditions, government actions, natural disasters, labor disruptions, incorrect or incomplete customer-provided addresses, or other circumstances outside our reasonable control.

However, nothing in these Terms limits any rights or remedies available to you under applicable consumer protection law.

Risk of loss or damage to products will transfer in accordance with applicable law.

Where required by applicable consumer protection law, including for eligible consumers in the European Union, risk of loss or damage does not pass to the customer until the customer or a person designated by the customer, other than the carrier, has received physical possession of the goods.

Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, trade dress, or other intellectual property of YenYa Coffee, YenYa, Inc., Shopify, or any third party.

Unauthorized use of the Services may violate intellectual property and other applicable laws.

The names YenYa, YenYa Coffee, related logos, product names, designs, packaging elements, slogans, and other brand identifiers are trademarks or other proprietary assets of YenYa, Inc., its affiliates, or licensors, as applicable. You must not use such marks without prior written permission.

Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify.

All other names, logos, product and service names, designs, and slogans appearing through the Services are the property of their respective owners.

SECTION 7 - OPTIONAL TOOLS

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have control or input over.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without warranties, representations, or conditions of any kind and without endorsement, except to the extent otherwise required by applicable law.

We shall have no liability arising from or relating to your use of optional third-party tools to the fullest extent permitted by law.

YenYa Coffee is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with YenYa Coffee. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and YenYa Coffee, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with YenYa Coffee.

SECTION 10 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, which is available through the Privacy Policy link on our website and at checkout.

Certain personal information may also be subject to Shopify's Privacy Policy.

You represent and warrant that:

(i) you own or otherwise have all necessary rights to the Feedback;
(ii) you have disclosed any compensation or incentives received in connection with your submission where disclosure is required; and
(iii) your Feedback complies with these Terms and applicable law.

We are under no obligation to:

(1) maintain your Feedback in confidence;
(2) pay compensation for Feedback; or
(3) respond to Feedback,

except where otherwise required by applicable law or separately agreed in writing.

We may, but have no obligation to, monitor, edit, or remove Feedback that we determine in our discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene, fraudulent, misleading, infringing, or otherwise objectionable or in violation of these Terms.

You further agree that your Feedback will not contain unlawful, abusive, or obscene material or any computer virus, malware, or other harmful code that could affect the operation of the Services or related systems.

Where permitted by applicable law, we may cancel or modify an order if material information relating to that order was inaccurate at the time the order was placed.

(i) to engage in conduct that restricts or inhibits another person's use or enjoyment of the Services or that may harm YenYa Coffee, YenYa, Inc., Shopify, other users, or third parties or expose them to liability.

In addition, you agree not to:

(a) upload or transmit viruses, malware, or other malicious code;

(b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services except as expressly permitted;

(c) unlawfully collect or track the personal information of others;

(d) spam, phish, pharm, pretext, scrape, or otherwise engage in deceptive or unauthorized data collection;

(e) use robots, spiders, scraping tools, automated data-gathering tools, AI tools, agentic AI, or other automated or manual means to access the Services in violation of these Terms or technical restrictions; or

(f) interfere with, bypass, circumvent, or defeat security features, authorization features, robot exclusion headers, access controls, or other measures we employ to protect or restrict access to the Services.

We reserve the right to suspend, disable, restrict, or terminate access to the Services where we reasonably determine that these Terms have been violated, subject to applicable law.

SECTION 14 - AGENTS

14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services.

"Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device without direct supervision.

14.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in accordance with the requirements in Section 14.4 below.

In addition, no Agent may access, use, or interact with the Services if we have requested that the Agent refrain from accessing, using, or interacting with the applicable Service.

14.3 We may limit, including by technical measures, whether and how an Agent accesses, uses, or interacts with the Services.

14.4 Agents must:

(i) in HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent in the applicable user-agent information where technically feasible and required by our systems;

(ii) not intentionally conceal or misrepresent that access, use, or interactions are generated by an Agent, including by improperly mimicking human behavior for the purpose of defeating technical controls or completing or circumventing CAPTCHAs or similar measures;

(iii) respond truthfully to prompts or mechanisms designed to determine whether an interaction is coming from a human or automated system; and

(iv) not circumvent measures intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

SECTION 15 - TERMINATION

We may terminate this agreement or suspend or terminate your access to the Services, or any portion thereof, where permitted by applicable law.

You remain liable for amounts properly due up to and including the effective date of termination.

EXCEPT AS EXPRESSLY STATED BY YENYA COFFEE OR REQUIRED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME STATES, COUNTRIES, AND JURISDICTIONS LIMIT OR DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. ACCORDINGLY, SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, GUARANTEE, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YENYA COFFEE, YENYA, INC., OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND THOSE OF SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR SIMILAR DAMAGES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PROCURED THROUGH THE SERVICES, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

TO THE FULLEST EXTENT PERMITTED BY LAW, THIS LIMITATION APPLIES REGARDLESS OF WHETHER A CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE AND REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME STATES, COUNTRIES, AND JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING ANY RIGHTS OR REMEDIES PROVIDED BY MANDATORY CONSUMER PROTECTION LAW.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless YenYa Coffee, YenYa, Inc., Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising from:

(1) your material breach of these Terms or documents incorporated into these Terms by reference;

(2) your violation of applicable law or the rights of a third party; or

(3) your unlawful or unauthorized access to or use of the Services.

We will provide reasonable notice of an indemnifiable claim where practicable. A failure to promptly notify you will not relieve you of your obligations except to the extent that the delay materially prejudices your ability to defend the claim.

Where permitted by law, we may participate in or control the defense and settlement of such a claim, including the selection of counsel. We will not agree to a settlement imposing a non-monetary obligation directly on you without your consent, which will not be unreasonably withheld.

You agree to reasonably cooperate in the defense of indemnified claims, including by providing relevant information and documents.

Nothing in this section imposes obligations on consumers that cannot lawfully be imposed under applicable law.

SECTION 19 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where appropriate, severed from these Terms.

Any such determination will not affect the validity or enforceability of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms will not constitute a waiver of that right or provision.

Subject to applicable law, you and YenYa, Inc. consent to personal jurisdiction and venue in the appropriate state and federal courts serving that jurisdiction.

If you are a consumer located in a jurisdiction that provides mandatory legal protections or rights that cannot be waived by contract, including applicable consumer protections in the European Union or European Economic Area, nothing in this section deprives you of those protections or rights.
